Dataset coverage and field availability
Use this page to check the scope of a Form D research result. Earliest and latest dates describe available records, not continuous SEC coverage. Other filing types remain available through their own search tools and are not included in these totals.
| Field | Numeric records | Unavailable records |
|---|---|---|
| Offering amount | 59000 | 51481 |
| Amount sold | 110481 | 0 |
| Investor count | 29740 | 80741 |
What freshness means
Latest filing date is the date recorded on the most recent eligible disclosure. Latest stored-record modification: Oct 31, 2026, 06:04 UTC. Modification can reflect a correction or reimport and is not a guarantee of successful or complete ingestion.
The importer runs separately from the web application. Scheduled jobs, backfills, SEC availability and extraction failures can affect which records are present. No per-day completeness certification or national-market denominator is implied by these counts.
Scope and reproducibility
Analytical reports count unique accession numbers with a nonblank stored issuer name and a filing date no later than today. Issuer counts use distinct CIKs. Original notices exclude records classified as amendments by either submission type or the amendment flag. Source records remain available in existing search and filing histories.
Monthly series cover twelve calendar months including the current partial month. Period comparisons use the two preceding completed calendar months. The dataset may still be incomplete in those months. State uses current stored issuer address; industry uses the classification on each filing. These choices can affect historical comparisons.
Offering amount, amount sold and investor count are counted as usable only when stored as a nonnegative number. Missing or invalid negative values are unavailable; a zero is usable. No totals of reported offering or sold-dollar fields are calculated.
Keep the page URL, calculation time, month labels and source accessions in your research log. The data can change as imports and corrections arrive; cached results are not immutable historical snapshots.
