These terms govern your use of Form D Explorer ("the Service"), operated by Dawn Crest Consulting ("we", "us"). By accessing the Service you agree to these terms. If you don't, don't use the Service.
The Service
Form D Explorer re-indexes SEC Form D filings from EDGAR and provides search, alerts, exports, and an API. Filing data is sourced from public SEC records but is not guaranteed to be complete, current, or error-free.
Not investment or legal advice
Nothing on the Service constitutes investment, legal, tax, or accounting advice. Form D filings are self-reported by issuers; we do not verify them. Before making any financial decision, consult qualified professionals and verify data against primary sources at SEC EDGAR.
Accounts
You're responsible for the activity under your account and for keeping your credentials safe. One account per person. Don't share logins.
Paid plans and billing
- Subscriptions renew automatically until you cancel in the billing portal.
- All fees are charged in USD via Stripe.
- One-time exports are non-refundable once the token is consumed.
- Monthly and annual subscriptions can be canceled at any time; access continues through the end of the paid period. No prorated refunds.
- We may change pricing with 30 days' notice; existing subscribers keep their current rate for the remainder of their billing period.
Acceptable use
- No scraping that exceeds the published API rate limits or circumvents the paywall.
- No reselling or redistributing the raw dataset to third parties.
- No attempts to disrupt, reverse-engineer, or probe for vulnerabilities (security researchers: responsible disclosure welcome at [email protected]).
- No use in violation of applicable law.
API
API access is provided with the "API Access" plan. Keys are personal and non-transferable. 10,000 requests per rolling 30-day window. Abuse (credential sharing, exceeding rate limits) may result in key revocation.
Intellectual property
Everything we create (UI, code, content we've written) is owned by Dawn Crest Consulting. SEC data is public. Our aggregations, rankings, and structured metadata are ours; you can't redistribute them wholesale.
No warranty; limitation of liability
The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the fees you paid us in the prior 12 months.
Termination
We may suspend or terminate accounts that violate these terms. You may close your account at any time by emailing us.
Changes
We may update these terms; material changes will be announced via email or on-site notice at least 14 days before taking effect.
Governing law
These terms are governed by the laws of the State of California, USA. Disputes are resolved in courts located in Los Angeles County, California.
