Form D amendments and disclosure coverage
Amendments update disclosures; they are not independent evidence of another raise. This report quantifies their presence and the availability of numeric fields so researchers can assess a dataset before calculating with it.
Amendment share
10687 of 110481 stored filings are classified as amendments (9.7%).
A record is counted once as an amendment if its form type is D/A or its extracted amendment flag is true. The share is amendment accessions ÷ all eligible accessions × 100. This is a submission mix, not the proportion of offerings that were amended.
| Field | Numeric records | Unavailable records |
|---|---|---|
| Offering amount | 59000 | 51481 |
| Amount sold | 110481 | 0 |

Why a naive total fails
In a hypothetical example, an initial notice reports $2 million sold and an amendment for the same offering reports $3 million sold. Adding them produces $5 million, duplicating earlier sales. Even a $1 million difference is not necessarily cash received during the interval: corrections and commitments require checking the documents.
Missing offering amounts may represent an indefinite amount or an extraction limitation. They cannot be used as zero or inferred from other fields. No sold-dollar sum or market-size estimate is produced here.
